By accessing or using the Orderly platform and related services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Orderly.
2. Description of Service
Orderly provides a voice-first and chat-based ordering platform that enables customers to place orders at participating restaurants. The Service includes voice ordering, text-based chat ordering, menu browsing, order tracking, and related features. Orderly acts as a technology intermediary between customers and restaurant partners.
3. User Accounts
While some features are available without an account, creating an account allows you to:
- Save your order preferences and dietary restrictions
- View your order history
- Receive personalized recommendations
- Access loyalty features
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Ordering and Payment
- All orders placed through the Service are subject to acceptance by the restaurant partner.
- Prices displayed on the Service are set by restaurant partners and may change without notice.
- Payment for orders is handled directly between you and the restaurant. Orderly does not process payments on behalf of restaurants.
- Once an order is confirmed and sent to the kitchen, cancellations may not be possible. Please confirm your order carefully before submitting.
5. Voice Ordering
Our voice ordering feature uses artificial intelligence to interpret your spoken requests. While we strive for accuracy, the AI may occasionally misinterpret orders. You are responsible for reviewing and confirming your order before it is submitted. By using voice ordering, you consent to the processing of your voice data as described in our Privacy Policy.
6. Allergies and Dietary Restrictions
While Orderly allows you to specify dietary preferences and allergies, we cannot guarantee that menu information is complete or accurate. Allergen information is provided by restaurant partners and may not account for cross-contamination. If you have severe allergies, we strongly recommend speaking directly with restaurant staff before placing an order.
7. Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by Orderly and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
8. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to interfere with or disrupt the Service
- Use automated systems to access the Service without permission
- Impersonate another person or entity
- Submit false or misleading orders
- Harass restaurant staff or other users
9. Limitation of Liability
To the fullest extent permitted by law, Orderly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, issues with food quality, order accuracy by restaurant partners, or any health-related incidents. Our total liability shall not exceed the amount you paid for the specific order giving rise to the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We make no guarantees regarding the accuracy of AI-generated order interpretations.
11. Indemnification
You agree to indemnify and hold harmless Orderly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
